Introduction

These Terms of Service ("Terms") govern your access to and use of the Chainflake platform, including the IPv4 Token and IPv6 Token services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

Chainflake is operated by DGTL TECH LLC, a limited liability company organized under the laws of the State of Wyoming, United States.

Eligibility

To use the Services, you must:

  • be at least 18 years of age or the age of legal majority in your jurisdiction;
  • have the legal capacity to enter into a binding agreement;
  • not be prohibited from using the Services under applicable laws;
  • complete any required identity verification (KYC) procedures.

Certain Services, including token redemption for IP address allocations, are available exclusively to Local Internet Registries (LIRs) or entities that meet the eligibility requirements established by Regional Internet Registries (RIRs).

Description of Services

Chainflake provides a blockchain-based platform for managing IP address resources. The Services include:

  • IPv4 Token and IPv6 Token — utility tokens that provide access to IP address management services;
  • token redemption — the process of exchanging tokens for the right to administer IP address blocks (prefixes), subject to eligibility and verification requirements;
  • platform tools — interfaces and applications for managing token holdings and IP address allocations.

Nature of Tokens

IPv4 Tokens and IPv6 Tokens are utility tokens. They provide access to platform services and do not constitute:

  • securities, investment contracts, or financial instruments;
  • equity, debt, or ownership interest in any entity;
  • a right to dividends, profits, or financial returns;
  • a claim against any party other than as expressly stated in these Terms.

Tokens are designed solely to facilitate access to IP address management services. You should not acquire tokens with the expectation of profit or financial gain.

Token Redemption

Token redemption allows eligible holders to exchange tokens for the right to administer IP address blocks (prefixes). Redemption is subject to:

  • LIR status or equivalent eligibility as determined by the applicable RIR;
  • successful completion of KYC/AML verification procedures;
  • platform capacity and resource availability;
  • minimum redemption thresholds (256 tokens for IPv4, 1 token for IPv6);
  • compliance with RIR policies and applicable regulations.

Redemption does not confer ownership of IP addresses. IP address resources remain subject to the policies and authority of the relevant RIR. Redemption grants administrative rights to use IP address blocks in accordance with RIR policies.

KYC and AML Compliance

Chainflake is committed to compliance with applicable anti-money laundering (AML) laws and regulations. You agree to:

  • provide accurate and complete identity verification information;
  • update your information promptly if it changes;
  • cooperate with any additional verification requests;
  • not use the Services for money laundering, terrorist financing, or other illegal purposes.

KYC verification is conducted by partner LIRs or third-party service providers that comply with RIR standards and applicable regulations.

User Responsibilities

You are responsible for:

  • maintaining the security and confidentiality of your private keys and wallet credentials;
  • all activities that occur under your account or wallet address;
  • ensuring that your use of the Services complies with applicable laws and regulations;
  • understanding the technical aspects of blockchain technology and token management;
  • any taxes or duties arising from your use of the Services.

Chainflake is not responsible for any loss resulting from unauthorized access to your wallet, loss of private keys, or transactions initiated from your wallet address.

Prohibited Activities

You agree not to:

  • use the Services for any unlawful purpose or in violation of these Terms;
  • provide false, inaccurate, or misleading information;
  • attempt to circumvent KYC/AML procedures or platform security measures;
  • interfere with or disrupt the Services or servers;
  • use the Services to engage in fraud, abuse, or market manipulation;
  • violate the intellectual property rights of Chainflake or third parties;
  • use IP address resources in violation of RIR policies.

Intellectual Property

The Chainflake platform, including its design, code, content, and trademarks, is the property of DGTL TECH LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Smart contract code for IPv4 Token and IPv6 Token is publicly available on the Ethereum blockchain.

Third-Party Services

The Services may integrate with or link to third-party services, including:

  • Ethereum blockchain and compatible wallets;
  • Regional Internet Registries (RIRs);
  • KYC/AML verification providers.

Your use of third-party services is subject to their respective terms and policies. Chainflake is not responsible for the availability, accuracy, or content of third-party services.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Chainflake disclaims all warranties, including but not limited to:

  • merchantability and fitness for a particular purpose;
  • uninterrupted or error-free operation;
  • accuracy, reliability, or completeness of information;
  • security or freedom from viruses or harmful components.

Blockchain technology involves inherent risks, including but not limited to smart contract vulnerabilities, network congestion, and regulatory uncertainty. You acknowledge and accept these risks.

Limitation of Liability

To the maximum extent permitted by law, Chainflake and its affiliates, officers, directors, employees, and agents shall not be liable for:

  • any indirect, incidental, special, consequential, or punitive damages;
  • loss of profits, data, or goodwill;
  • damages arising from your use or inability to use the Services;
  • damages resulting from unauthorized access to your wallet or account;
  • damages arising from third-party conduct or services.

In no event shall Chainflake's total liability exceed the amount you paid to Chainflake in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Chainflake and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of any rights of third parties;
  • your violation of applicable laws or regulations.

Modifications to Services and Terms

Chainflake reserves the right to modify, suspend, or discontinue the Services at any time without prior notice. We may also update these Terms periodically.

Significant changes will be communicated via our official channels. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Termination

Chainflake may suspend or terminate your access to the Services at any time, with or without cause, including for:

  • violation of these Terms;
  • failure to complete required verification procedures;
  • suspected fraudulent, abusive, or illegal activity;
  • regulatory requirements or legal obligations.

Upon termination, your right to use the Services ceases immediately. Tokens held in your wallet remain subject to the terms of the applicable smart contracts.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Sheridan, Wyoming, and shall be conducted in English.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Statement and any additional agreements you enter into with Chainflake, constitute the entire agreement between you and Chainflake regarding the Services.
